1. Acceptance of terms

By accessing or using the Website, you confirm that you are at least 18 years old (or have obtained parental or guardian consent) and that you have the authority to agree to these Terms. These Terms apply to all visitors, users, and others who access the Website.

Your use of the Website is also governed by our Privacy Policy, which explains that we do not use cookies on this Website and that certain tools may store settings in your browser.

2. Use of the Website

You may use the Website only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Website. You agree not to:

• Upload or transmit viruses, malware, or other harmful code
• Interfere with, disrupt, or attempt to gain unauthorized access to the Website or related systems
• Use the Website for fraudulent, deceptive, or unlawful purposes
• Scrape, harvest, or systematically extract content except as allowed by ordinary browsing or written permission from Evoq
• Submit patient names or other protected health information through Website forms

3. Informational content and product status

Content on the Website is provided for general information for healthcare professionals and other visitors. It is not medical advice, a diagnosis, or a substitute for the independent clinical judgment of a licensed practitioner. Always consult appropriate professionals for clinical decisions.

Product descriptions, specifications, pricing, CPT® references, reimbursement discussion, and availability may change. Regulatory status varies by product and jurisdiction. For example, the Twilight™ Dark Adaptometer is described on the Website as an FDA-registered Class I medical device for the United States; SmartERG® R is described as not FDA cleared or CE marked for clinical diagnosis or commercial medical use. Always confirm current indications, labeling, and local requirements before use or purchase.

The Website is a public information site. It is not the SightGard™ clinical platform. Access to clinical software, device operation, and patient data is governed by separate agreements.

4. Interactive tools, including the ROI calculator

The Twilight™ ROI calculator and any similar practice tools are planning aids. Outputs are modeled estimates based on the assumptions you enter and on default figures we provide. They are not a promise of revenue, reimbursement, patient volume, or clinical results. Actual coding, coverage, and payment depend on payer rules, documentation, and your practice. You are responsible for verifying those matters.

To improve your experience, the calculator may store your settings in your browser (not in cookies) so they are available when you return. If you generate a report or ask us to email a PDF, you also send those inputs to Evoq as described in the Privacy Policy.

5. Inquiries and submissions

If you send a contact inquiry, research application, or other material through the Website, you represent that the information is accurate to the best of your knowledge and that you have the right to provide it. You grant Evoq a non-exclusive license to use that material to evaluate and respond to your request and to operate our business.

Research applications are considered under the program terms shown on the research and application pages, including that scientific grants are not contingent on the purchase or recommendation of Evoq products. Submitting a proposal does not create an obligation for Evoq to fund or supply a study.

Purchases made through our Shopify store, and use of other Evoq or partner sites, are subject to the terms of those sites, not these Terms.

6. Intellectual property

All content on the Website, including text, graphics, logos, images, video, software, and the selection and arrangement of materials, is owned by Evoq Technologies Corp or its licensors and is protected by copyright, trademark, and other laws. You may view and print pages for your own informational use. You may not copy, distribute, modify, or create derivative works from Website content without prior written permission, except as allowed by mandatory law.

EVOQ®, Twilight™, SightGard™, SmartERG®, and related marks are trademarks of Evoq Technologies Corp or its affiliates. CPT® is a registered trademark of the American Medical Association. Other names may be trademarks of their respective owners. No license is granted by implication.

7. Third-party links

The Website may link to third-party websites, stores, or services. We do not control those destinations and do not endorse their content, products, or practices. Your use of them is at your own risk and subject to their terms and privacy policies.

8. Disclaimer of warranties

The Website and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that content (including calculator results) is accurate, complete, or current.

9. Limitation of liability

To the maximum extent permitted by law, Evoq Technologies Corp and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of, or inability to use, the Website or its content, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded, our aggregate liability arising out of these Terms or the Website shall not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted.

10. Indemnification

You agree to defend, indemnify, and hold harmless Evoq and its personnel from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Website, your submissions, or your violation of these Terms or applicable law.

11. Modifications

We may change the Website or these Terms at any time. The current Terms will be posted on this page with an updated effective date. Your continued use after a change constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law rules. Courts located in Clark County, Nevada shall have exclusive jurisdiction over disputes arising from these Terms or the Website, except that Evoq may seek injunctive relief in any jurisdiction to protect its intellectual property.

13. General

If a provision of these Terms is held unenforceable, the remaining provisions continue in effect. These Terms, with the Privacy Policy, are the entire agreement between you and Evoq regarding the Website and supersede prior understandings on that subject. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
